Terms of Service

1. Agreement

These Terms form a binding agreement between you and SignalSurf, Inc. By accessing or using SignalSurf, you agree to these Terms and our Privacy Policy. If you use SignalSurf for an organization, you represent that you can bind that organization, and “you” includes the organization.

2. Eligibility and Authority

You must be at least 18 years old and legally able to enter into these Terms. You may use the Service only for lawful business purposes and in compliance with the laws and platform rules that apply to you.

3. The Service

SignalSurf is an AI-assisted execution workspace for go-to-market teams. Depending on your plan and enabled modules, the Service may include:

  • Shared projects, files, sheets, records, items, lists, and workflows.
  • Tools to search, import, enrich, organize, and route GTM data and reusable business context.
  • Content, listening, campaigns, inbox, meetings, and related operations for publishing, social engagement, outreach, replies, and follow-up.
  • AI agents and workflows that research, enrich, organize, draft, recommend, and—when configured or approved—perform actions through connected services.
  • Features may be introduced, changed, suspended, or retired. Preview or beta features may be incomplete and may have additional terms or limits.

4. Accounts and Workspaces

  • Provide accurate account information and keep it current.
  • Keep credentials secure, use accounts only as authorized, and promptly notify us of suspected unauthorized access.
  • Organization Owners and Admins may manage billing and Workspace access. Workspace Admins may manage members, settings, content, and connected accounts within their Workspace.

5. Customer Data and Permissions

  • You retain ownership of data, files, prompts, instructions, content, and other materials you submit or create in the Service (“Customer Data”).
  • You grant SignalSurf a limited, non-exclusive license to host, copy, process, transmit, display, and create technical derivatives of Customer Data only as needed to provide, secure, support, and improve the Service and follow your instructions.
  • You represent that you have all rights, permissions, notices, and lawful bases needed for Customer Data and for any action you ask SignalSurf to perform with it.
  • You are responsible for maintaining exports or backups you require and for removing data before account closure where available.

6. AI, Agents, and Authorized Actions

  • SignalSurf may prepare or perform actions in connected services based on your instructions, workspace configuration, permissions, and available approval controls.
  • You must review material outputs and external actions when review is appropriate, including outreach, replies, published content, record changes, and meeting invitations.
  • AI output can be incomplete, inaccurate, or unsuitable. It is not legal, financial, employment, or other professional advice.
  • You are responsible for recipients, audience criteria, schedules, instructions, permissions, and the legal and commercial consequences of actions performed for your workspace.

7. Acceptable Use

You may not, and may not enable others to:

  • Use the Service in violation of law, sanctions, export controls, or another person's rights.
  • Collect, upload, enrich, publish, or send content without the rights, notices, consents, and lawful basis required to do so.
  • Send spam or deceptive communications; harass, threaten, discriminate against, or impersonate others; or generate unlawful, harmful, or misleading content.
  • Circumvent rate limits, access controls, anti-abuse measures, robots restrictions, or the terms and policies of a connected platform or data source.
  • Probe, disrupt, reverse engineer, resell without authorization, or use the Service to develop a competing model or service, except where such restriction is prohibited by law.

8. Third-Party Services and Data

  • Connected services, data providers, social networks, model providers, meeting processors, email infrastructure, and other third parties have their own terms and privacy practices. You authorize SignalSurf to exchange data with them as needed to fulfill your instructions.
  • SignalSurf is not responsible for third-party changes, outages, suspensions, data loss, delivery decisions, or account restrictions, although we will use reasonable efforts to operate our integrations.
  • Third-party and AI-generated data may be incomplete, delayed, or inaccurate. You are responsible for deciding whether and how to use it.

9. Trials, Billing, Cancellation, and Refunds

  • Prices, included usage, seats, modules, credits, billing periods, renewal terms, and taxes are shown at checkout or in an order form. By purchasing, you authorize our payment provider to charge the payment method on file for the amounts and frequency disclosed.
  • If SignalSurf offers a free or discounted trial, checkout will state its duration, the date and price at which paid billing begins, and how to cancel. Unless you cancel before the trial ends, the trial converts to a paid subscription. Trial eligibility may be limited by organization and may not be repeated.
  • Unless your order says otherwise, a paid subscription renews automatically for the same billing period at the then-current disclosed price until cancelled before renewal. We will provide renewal or price-change notices where applicable law requires them.
  • Upgrades, downgrades, module changes, and quantity changes may produce an immediate prorated charge or credit. The price and timing shown before confirmation control, and required payment must succeed before an immediate change takes effect.
  • The organization owner may cancel through the billing controls made available by SignalSurf or by contacting support. Cancellation stops future renewal and ordinarily takes effect at the end of the current paid period; access continues through that period unless law, an order, or a security or breach-related suspension requires otherwise.
  • Except where required by law, stated in an order, or expressly approved by SignalSurf, fees are non-refundable and we do not provide refunds or credits for partially used periods, unused features, or unused included allowances. Send billing or refund questions to support@signalsurf.ai. An approved refund may remove the related unused credits, entitlements, or resources and is returned through the original payment method or another legally permitted method.
  • Credits, sender capacity, domains, mailboxes, and other provider-backed resources may have separate prices, limits, and terms. A fulfilled or consumed resource may be non-cancellable and non-refundable. If a paid provider-backed purchase definitively fails before fulfillment, SignalSurf will provide the refund or account credit required by the purchase flow or applicable law.
  • If payment fails or becomes overdue, we or our payment provider may retry the charge and may suspend paid features or the account. A plan change that requires immediate payment is not applied if that payment fails. Outstanding authorized charges remain due.
  • Fees exclude taxes. You are responsible for applicable taxes other than taxes based on SignalSurf's net income.

10. SignalSurf Intellectual Property

  • SignalSurf and its licensors own the Service, software, models and orchestration, documentation, branding, and all related intellectual property, excluding Customer Data.
  • If you provide feedback, you grant SignalSurf a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation.

11. Privacy and Confidentiality

Our Privacy Policy explains how we collect, use, disclose, and protect personal data. Each party will protect the other's non-public confidential information using reasonable care and use it only to perform under these Terms, except where disclosure is authorized or legally required.

12. Suspension and Termination

  • You may stop using the Service or cancel a subscription at any time. Cancellation takes effect at the end of the current paid term unless your order or applicable law says otherwise.
  • We may suspend or terminate access for nonpayment, security risk, unlawful or abusive use, material breach, or to protect SignalSurf, our users, or third parties. Where reasonable, we will provide notice and an opportunity to cure.
  • On termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, liability limits, indemnity, and dispute terms.

13. Service Availability, Data Loss, and Recovery

  • The Service may be unavailable, delayed, or degraded because of maintenance, defects, security events, capacity limits, internet failures, or third-party outages. Unless an order expressly includes a service level commitment, SignalSurf does not guarantee uninterrupted availability or a particular recovery time.
  • SignalSurf uses reasonable measures to protect and preserve Customer Data, but the Service is not a substitute for your own records-management or backup process. You should regularly export or separately retain business-critical data where export is available.
  • Changes or deletions made by you, workspace members, authorized agents or workflows, or connected services may be propagated and may not be reversible. You are responsible for configuring permissions, approvals, and connected-service settings appropriate to your use.
  • A downgrade, cancellation, payment failure, or module removal may immediately or later limit access to features. Existing records may remain stored under our retention practices, but continued storage does not guarantee that a disabled feature can display, process, or restore them.
  • SignalSurf does not guarantee that deleted, overwritten, corrupted, or lost data can be recovered. Contact support promptly if you believe data is missing; we may attempt recovery where technically and commercially reasonable, but restoration is not assured.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” SignalSurf disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted service, particular business results, complete third-party data, delivery or platform acceptance, or error-free AI output.

15. Limitation of Liability

To the maximum extent permitted by law, SignalSurf will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, data, or business opportunities. SignalSurf's total liability arising from the Service will not exceed the amount you paid SignalSurf for the Service during the 12 months before the event giving rise to the claim. These limits do not apply where prohibited by law.

16. Indemnity

To the extent permitted by law, you will defend and indemnify SignalSurf and its affiliates, officers, employees, and agents from third-party claims arising from Customer Data, your use of the Service, actions performed for your workspace, or your violation of these Terms or applicable law.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Except where applicable law requires otherwise, the state and federal courts located in Delaware have exclusive jurisdiction, and each party consents to that venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to These Terms

We may update these Terms or the Service. We will post updated Terms, revise the date above, and provide additional notice when required. Material changes apply prospectively. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Service.
